UABODE Pilot: Terms & Conditions

1. General Platform Terms

• 1.1 Our Role (Infrastructure Provider): UABODE is a technology platform and home management infrastructure provider. Our platform empowers you to manage your home journey peer-to-peer.
• 1.2 Demonetised Model: UABODE is a commission-free platform; we do not charge selling fees. We do not accept referral fees from partner conveyancers or third-party providers.
• 1.3 Pilot Status: This is a 6-month, closed-cohort pilot in Brighton & Hove. During this pilot, certain features may be locked, and the platform is provided "as-is" for testing and feedback purposes.

2. Account Registration & Security

• 2.1 Eligibility: You must be at least 18 years of age to create an account and list a property on the platform.
• 2.2 Security: You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account.

3. User-Generated Content & AI Tools

• 3.1 Content Ownership & License: You retain ownership of all data, text, and images you upload to your HomeHub. By publishing a listing to the HomeMatch marketplace, you grant UABODE a non-exclusive, royalty-free, UK-wide license to display and distribute that content to operate the platform.
• 3.2 AI Assistant Disclaimer: We provide an AI Assistant to help you draft listings and frame answers. Artificial Intelligence can occasionally produce inaccurate text (hallucinations). You are the sole author of your listing. You must carefully review all AI-generated content before publishing to ensure it is factually accurate and complies with the Consumer Protection from Unfair Trading Regulations 2008.

4. For Sellers

• 4.1 The Digital Passport (UUFI): While our platform assists with the process, you remain the sole responsible party for the accuracy, completeness, and legal compliance of all "Material Information" provided in your Up-Front Information (UUFI) pack.
• 4.2 Digital Handover & Seller Control: Upon exchange of contracts, your property’s digital record is duplicated and transferred to the buyer. You have full oversight of this process. Before transfer, you may review, veto, or redact specific user-generated information to ensure sensitive data remains private.
• 4.3 De-risking Tools: Our partner conveyancer may offer a Reservation Agreement to secure your sale. This is a separate contract between you, the buyer, and the provider; UABODE is not a party to that legal contract.

5. For Buyers

• 5.1 Neutral Venue: You acknowledge that UABODE is a digital venue. We do not act as an agent for the seller, nor do we warrant or guarantee the property's condition or the seller's legal title.
• 5.2 Verification & Due Diligence: You understand that the UUFI/Digital Passport and listings are user-generated. UABODE does not independently verify this information. It is provided strictly as a starting point for your own independent legal, financial, and structural due diligence.
• 5.3 Professional Advice: Use of this platform does not replace the need for a professional RICS structural survey or independent legal advice from a qualified conveyancer.
• 5.4 Account Continuity: By completing a transaction on the platform, you agree to receive a duplication of the property’s digital HomeHub record to facilitate your ongoing home management as the new owner.

6. Prohibited Uses

You may use the UABODE platform only for lawful purposes. You agree not to, and will not permit any third party to:

• Scraping & Data Mining: Use any robot, spider, or automated device to retrieve, index, "scrape," or gather content from the platform without our prior written consent.
• Reverse Engineering: Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of the platform.
• Unauthorised Copying: Reproduce, duplicate, copy, sell, or exploit any portion of the platform, including the branding and proprietary assets.
• Infrastructure Interference: Take any action that imposes an unreasonable load on our infrastructure or attempts to interfere with the proper working of the platform.
• Misrepresentation: Upload false, misleading, or fraudulent property documents or identity information.

7. Limitation of Liability

To the maximum extent permitted by UK law, UABODE Ltd. shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to financial losses, fall-through costs, or legal disputes arising from property transactions initiated on our platform. The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including the implied warranties of merchantability or fitness for a particular purpose.

8. Governing Law

These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
